This Creator Agreement ("Agreement") is a legally binding contract between you ("Creator", "you", or "your") and Jozie AI Inc. ("Jozie AI", "we", "us", or "our") governing your participation as a creator on the Jozie Workforce marketplace ("Workforce" or the "Marketplace"), a feature of the Jozie AI platform accessible at companions.jozieai.com and related domains (collectively, the "Platform").
By registering as a creator, creating an AI assistant, publishing a listing to the Marketplace, or clicking "I agree" or any equivalent button or checkbox, you confirm that you have read, understood, and agree to be bound by this Agreement in full, together with our Terms of Service and Privacy Policy, which are incorporated herein by reference.
If you do not agree to all terms of this Agreement, you must not register as a creator, create an AI assistant, or publish any listing to the Marketplace.
This Agreement constitutes a legally binding contract. If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement, and all references to "you" include that entity.
This Agreement supplements and is incorporated into our general Terms of Service. In the event of any conflict between this Agreement and the general Terms of Service with respect to your role as a Creator, this Agreement will control.
We may update this Agreement from time to time. When we do, we will update the "Last updated" date above and, for material changes, provide notice via email or in-platform notification. Your continued operation as a Creator after the effective date of any updated Agreement constitutes your binding acceptance of those changes. If you do not agree to an updated Agreement, you must cease operating as a Creator and remove your listings.
For purposes of this Agreement, the following definitions apply:
To participate as a Creator, you must be at least 18 years of age and have the full legal capacity to enter into this Agreement. By registering as a Creator, you represent and warrant that you meet these requirements.
Creator participation is available in jurisdictions where we operate. Jozie AI reserves the right to restrict or prohibit Creator participation in any jurisdiction at any time without prior notice, including for regulatory, legal, or operational reasons. You are solely responsible for determining whether your participation as a Creator complies with the laws of your jurisdiction.
To receive payouts, you must maintain a valid payment method on file as required by our payment processor. Jozie AI is not responsible for failed or delayed payouts resulting from incorrect or incomplete payment information you provide.
You must comply with all applicable laws, regulations, and professional licensing requirements applicable to the knowledge, advice, or services represented in your AI Assistants and Creator Content. Jozie AI does not verify, and bears no responsibility for, your compliance with professional licensing requirements (e.g., requirements to hold a license to practice law, medicine, financial advising, or any other regulated profession).
You agree to provide accurate, current, and complete information when registering as a Creator and to maintain the accuracy of that information. Providing false, misleading, or incomplete information is grounds for immediate suspension or termination of your Creator account.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@jozieai.com if you suspect any unauthorized access to your account. Jozie AI is not liable for any loss or damage arising from your failure to maintain account security.
Each Creator may operate one Creator account. You may not create multiple accounts to circumvent suspensions, bans, or restrictions, or for any other purpose. Jozie AI reserves the right to merge, suspend, or terminate duplicate or related accounts at its sole discretion.
You are solely and exclusively responsible for all Creator Content you submit to the Platform and for the behavior, accuracy, completeness, and quality of your AI Assistants. Jozie AI does not review, verify, validate, or endorse your Creator Content or the output generated by your AI Assistants. Publication of a Listing on the Marketplace does not constitute any endorsement, certification, or warranty by Jozie AI of the accuracy, quality, or appropriateness of the Creator Content or AI Assistant.
You acknowledge that AI-generated outputs produced by your AI Assistants may be inaccurate, incomplete, outdated, or inappropriate for specific situations. You are solely responsible for ensuring your Creator Content is accurate, current, lawful, and appropriate. Subscribers rely on your AI Assistants at their own risk.
Unless you are a licensed professional operating within the scope of a professional-client relationship established outside of this Platform, your AI Assistants must not hold themselves out as providing licensed professional advice (including but not limited to legal advice, medical advice, financial advice, psychological counseling, or tax advice). You are responsible for including appropriate disclaimers in your Listings and within your AI Assistants' responses to the extent required by applicable law or professional regulations.
You are responsible for keeping your AI Assistants and Creator Content accurate and up to date. Jozie AI bears no responsibility for any harm resulting from outdated, incorrect, or stale Creator Content.
By submitting Creator Content to the Platform and publishing a Listing, you grant Jozie AI a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, reproduce, and distribute your Creator Content solely for the purposes of: (a) operating and improving the Platform; (b) making your Listing and AI Assistant accessible to Subscribers; (c) displaying your Listing in the Marketplace; and (d) as otherwise required to provide the services described in this Agreement. This license terminates upon removal of the applicable Creator Content, provided that copies retained in routine backups may persist for a reasonable period thereafter.
You acknowledge that Subscribers may submit ratings, reviews, and feedback about your AI Assistants. Jozie AI may display such ratings and reviews in the Marketplace. Jozie AI is not responsible for the content of Subscriber reviews. You must not submit fraudulent, misleading, or self-generated reviews of your own Listings.
You must not create, publish, or operate AI Assistants, or submit Creator Content, that:
As a Creator, you must not:
Jozie AI reserves the right to remove any Listing, suspend or terminate your Creator account, and withhold pending payouts in the event of actual or suspected violation of this Section 6, at our sole discretion and without prior notice. We may also report violations to applicable law enforcement or regulatory authorities.
Subject to the license granted in Section 5.5, you retain all intellectual property rights you hold in your Creator Content. Nothing in this Agreement transfers ownership of your Creator Content to Jozie AI.
Jozie AI retains all rights, title, and interest in and to the Platform, the Marketplace, the AI infrastructure, algorithms, software, branding, trademarks, and all proprietary technology used to power the Workforce marketplace and AI Assistant creation tools. You receive no ownership interest in any of the foregoing by virtue of this Agreement.
If you provide any feedback, ideas, or suggestions to Jozie AI regarding the Platform or Marketplace ("Feedback"), you grant Jozie AI a perpetual, irrevocable, worldwide, royalty-free license to use, develop, and commercialize such Feedback without any obligation to you, including any obligation to compensate you or to keep it confidential.
You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, model weights, or underlying architecture of any Jozie AI AI models, software, or infrastructure.
You may identify yourself as a "Jozie Workforce Creator" solely for promotional purposes in connection with your Listings. Any other use of Jozie AI's trademarks, logos, or branding requires our prior written approval. We reserve the right to revoke any granted trademark permissions at any time.
Your Listings must accurately describe your AI Assistants' capabilities, the type of knowledge or advice they provide, and any material limitations. Listings must not contain false, misleading, or deceptive statements. Jozie AI reserves the right to require you to amend or remove any Listing that we determine, in our sole discretion, is inaccurate, misleading, or otherwise in violation of this Agreement.
You may set your own annual subscription price within any minimum and maximum price ranges established by Jozie AI from time to time. Jozie AI reserves the right to establish or update such price floors and ceilings with 30 days' notice. All prices must be denominated in the currencies supported by the Platform.
You may offer free trial periods for your AI Assistants as permitted by the Platform's configuration tools. Jozie AI does not guarantee that free trial offers will result in paid conversions. No Platform Fee is charged on free trial periods during which no payment is collected.
You may update, modify, or unpublish your Listings at any time. Price changes to existing Listings will not affect Subscribers already subscribed at a prior price until their current subscription term ends and renewal is processed at the updated price, unless otherwise required by applicable law.
Jozie AI may, in its sole discretion, feature, promote, recommend, or advertise your Listings within the Marketplace or through marketing channels. We may also exclude your Listings from featured placements. Such decisions are made at our sole discretion and do not constitute a guarantee of exposure or revenue.
Jozie AI controls the search, ranking, and discovery algorithms used in the Marketplace. We may adjust these algorithms at any time without notice. We make no representation or warranty that your Listings will appear in any particular position or frequency in search results or recommendations.
Subject to the terms of this Agreement, Jozie AI will remit to you the Creator Payout, which is currently equal to 70% of gross Subscription Revenue collected from Subscribers for your AI Assistants. The remaining 30% constitutes the Platform Fee retained by Jozie AI. These percentages may be adjusted as described in Section 12.
Creator Payouts are processed on a monthly basis, typically within 30 days following the end of each calendar month, subject to the minimum payout threshold and other conditions set forth in this Section. Jozie AI reserves the right to adjust the payout schedule with 30 days' prior notice.
Payouts will only be processed when your accumulated Creator Payout balance reaches a minimum threshold as set by Jozie AI (currently $25.00 USD). If your balance does not reach the threshold in a given month, it will carry forward to subsequent months until the threshold is met.
Your Creator Payout is subject to deduction for: (a) refunds granted to Subscribers pursuant to Section 9.5; (b) chargebacks, payment reversals, or disputed charges initiated by Subscribers or payment processors; (c) applicable withholding taxes as required by law; and (d) any amounts you owe Jozie AI under this Agreement or the Terms of Service. Jozie AI is not liable to you for Subscription Revenue lost due to chargebacks or payment disputes.
Jozie AI may, in its sole discretion, issue refunds to Subscribers for any reason, including but not limited to dissatisfaction with your AI Assistant, suspected fraudulent transactions, or as required by applicable consumer protection law. The amount of any refund granted will be deducted from your Creator Payout. You acknowledge that Jozie AI's refund decisions are final.
Payouts are made via the payment methods supported by the Platform from time to time. You are responsible for providing accurate and complete payment account information. Jozie AI is not responsible for failed or misdirected payments resulting from incorrect information you provide. We are not responsible for fees charged by your bank, payment provider, or applicable currency conversion costs.
Jozie AI reserves the right to place a hold on your Creator Payout for a reasonable period in the event of: (a) suspected fraud, money laundering, or violation of this Agreement; (b) an unresolved dispute or claim by a Subscriber; (c) a chargeback or payment reversal in process; (d) a government investigation or legal process requiring us to do so; or (e) any other circumstance in which Jozie AI reasonably determines a hold is warranted. Jozie AI will notify you of any hold and the reason therefor to the extent permitted by law.
If we are unable to remit a payout due to invalid or missing payment information after reasonable attempts to contact you, unclaimed payout amounts may be subject to applicable unclaimed property laws or, after a dormancy period of 12 months, may be forfeited to Jozie AI at our sole discretion.
You are an independent contractor of Jozie AI. Nothing in this Agreement creates an employment, partnership, joint venture, franchise, agency, or fiduciary relationship between you and Jozie AI. You have no authority to bind Jozie AI to any obligation. You are not entitled to any employee benefits, workers' compensation, unemployment insurance, or similar protections.
You are solely responsible for determining and fulfilling all tax obligations arising from your participation as a Creator, including income taxes, self-employment taxes, value-added taxes (VAT), goods and services taxes (GST), sales taxes, and any other taxes imposed by any applicable jurisdiction. Jozie AI makes no representation regarding your tax obligations, and nothing in this Agreement constitutes tax advice.
You may be required to provide tax identification information (such as a W-9 or W-8 form in the United States) to Jozie AI as a condition of receiving payouts. Jozie AI reserves the right to withhold taxes from your Creator Payout as required by applicable law, including backup withholding. We will provide required tax reporting documents (such as IRS Form 1099 in the United States) to you and to applicable tax authorities as required by law.
You agree to indemnify and hold harmless Jozie AI from any taxes, penalties, interest, or other amounts assessed against Jozie AI resulting from your failure to fulfill your tax obligations in connection with your Creator activities.
Jozie AI makes no representation, warranty, or guarantee that you will earn any specific amount of revenue, attract any specific number of Subscribers, or achieve any particular business outcome as a result of participating in Jozie Workforce. All earnings projections, calculator outputs, and illustrative revenue examples shown on the Workforce marketing pages or elsewhere on the Platform are hypothetical, for illustrative purposes only, and are not guarantees of actual results.
Your actual earnings will depend on factors entirely outside Jozie AI's control, including but not limited to: the quality and accuracy of your Creator Content, subscriber demand for your subject matter, your chosen pricing, market competition, Marketplace ranking, and the overall growth and engagement of the Jozie user base. Past performance of other Creators on the Platform is not indicative of your future results.
You acknowledge and agree that Jozie AI bears no liability whatsoever for any loss of anticipated earnings, failure to attract Subscribers, or shortfall relative to any earnings projection or example you may have relied upon in deciding to become a Creator.
Jozie AI reserves the right to modify, update, discontinue, or restrict any feature of the Platform or Marketplace at any time, including the AI Assistant creation tools, Marketplace discovery features, Subscriber interface, and any other aspect of the service. We will make reasonable efforts to provide advance notice of material changes, but we are not obligated to do so and bear no liability for any impact such changes have on your Creator activities or earnings.
Jozie AI may adjust the Platform Fee and corresponding Creator Payout percentage at any time with at least 30 days' prior written notice to you. Your continued operation as a Creator after the effective date of a fee adjustment constitutes your acceptance of the new fee structure. If you do not accept an adjustment, your sole remedy is to terminate this Agreement and remove your Listings prior to the effective date.
Jozie AI may update the policies, guidelines, and rules governing the Marketplace at any time. Updated policies will be effective upon posting or as otherwise stated, and your continued participation as a Creator constitutes acceptance of the updated policies.
By entering into this Agreement and operating as a Creator, you represent and warrant to Jozie AI, on a continuing basis, that:
A breach of any representation or warranty in this Section constitutes a material breach of this Agreement and may result in immediate suspension or termination of your Creator account, withholding of pending payouts, and pursuit of any available legal remedies.
THE PLATFORM, THE MARKETPLACE, AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JOZIE AI INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
JOZIE AI EXPRESSLY DISCLAIMS ANY WARRANTY THAT THE PLATFORM OR THE MARKETPLACE WILL MEET YOUR BUSINESS OR FINANCIAL EXPECTATIONS. YOUR USE OF THE PLATFORM AS A CREATOR IS ENTIRELY AT YOUR OWN RISK.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JOZIE AI INC., ITS PARENT, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU FOR ANY:
EVEN IF JOZIE AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
AGGREGATE LIABILITY CAP: IN NO EVENT SHALL JOZIE AI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT OR YOUR PARTICIPATION AS A CREATOR EXCEED THE GREATER OF: (A) THE TOTAL CREATOR PAYOUTS ACTUALLY REMITTED TO YOU BY JOZIE AI IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
The limitations of liability in this Section apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you in their entirety.
You agree to defend, indemnify, and hold harmless Jozie AI Inc. and its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers (collectively, the "Jozie AI Parties") from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) ("Claims") arising out of or related to:
Jozie AI reserves the right, at your expense, to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate fully with Jozie AI in such defense. You may not settle any Claim for which Jozie AI is seeking indemnification without our prior written consent, which will not be unreasonably withheld.
Your indemnification obligations under this Section 16 survive termination or expiration of this Agreement.
Jozie AI reserves the right, but has no obligation, to review, monitor, moderate, edit, or remove any Listing, Creator Content, or AI Assistant at any time, for any reason or no reason, at our sole discretion and without prior notice. This includes removing Listings that we determine violate this Agreement, our general Terms of Service, applicable law, or the standards we establish for the Marketplace.
Jozie AI may suspend your Creator account or any Listing immediately and without prior notice if we reasonably determine that: (a) you have violated any provision of this Agreement or our Terms of Service; (b) your Creator Content or AI Assistants pose a risk of harm to Subscribers or third parties; (c) we receive credible reports of fraud, misrepresentation, or abuse; (d) you are subject to a legal hold, investigation, or court order; or (e) suspension is necessary to protect the integrity of the Platform or Marketplace.
During a suspension, your Listings will be removed from public view, new Subscriptions will not be processed, and Creator Payouts may be held. Existing Subscribers may be granted access to a refund at Jozie AI's discretion. We are not liable to you for any loss of earnings, Subscribers, or revenue during a suspension period.
Jozie AI is not obligated to restore any removed Listing or suspended account. We may, in our sole discretion, elect to restore a suspended account after investigation and resolution of the underlying issue.
You may terminate this Agreement at any time by removing all of your Listings from the Marketplace and notifying us at creators@jozieai.com. Termination does not relieve you of obligations for Subscribers who subscribed prior to termination; such subscriptions will run to their natural expiration and any applicable refunds will be charged back to you.
Jozie AI may terminate this Agreement and your Creator account at any time, with or without cause, upon notice to you. We may terminate immediately and without notice for material breach of this Agreement, repeated violations, fraud, or illegal activity.
Upon termination: (a) your right to publish Listings and operate as a Creator immediately ceases; (b) your Listings will be removed from the Marketplace; (c) Jozie AI will process a final payout for any Creator Payout balance that has accrued, subject to any holds, deductions, and the minimum threshold described in Section 9, within 60 days of termination, provided no chargebacks, refunds, or claims remain outstanding that would affect your balance; and (d) Jozie AI may retain your Creator Content for a reasonable period as required for legal compliance, dispute resolution, backup, and audit purposes.
Sections 7 (Intellectual Property), 10 (Taxes), 11 (No Guarantee), 13 (Representations), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 18.3, 19 (Governing Law and Dispute Resolution), and 20 (General Provisions) survive termination or expiration of this Agreement.
This Agreement is governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
Before initiating any formal dispute resolution, you agree to contact Jozie AI at legal@jozieai.com and provide a written description of the dispute, your desired resolution, and your contact information. Jozie AI will have 30 days from receipt to attempt to resolve the dispute informally. This requirement does not preclude either party from seeking emergency injunctive relief.
Subject to Section 19.4, any dispute, claim, or controversy arising out of or relating to this Agreement, your Creator activities, or the Marketplace that is not resolved through informal resolution will be resolved through final, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or, if applicable, its Consumer Arbitration Rules), as supplemented by this Section. The arbitration will be conducted by a single arbitrator. The seat of arbitration will be Delaware, unless you and Jozie AI agree otherwise or you elect to participate by telephone or videoconference. The arbitrator's award will be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.
Either party may bring: (a) claims for emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration; and (b) claims that are within the jurisdiction of a small claims court in the relevant venue.
YOU AND JOZIE AI EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. Any dispute between you and Jozie AI must be resolved on an individual basis. Neither you nor Jozie AI may bring any claim as a plaintiff or class member in any purported class, consolidated, or representative action or proceeding. If a court or arbitrator determines that the class action waiver is unenforceable, then the arbitration agreement in Section 19.3 will not apply, and the dispute will be resolved in a court of competent jurisdiction in Delaware.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND JOZIE AI EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION ARISING UNDER OR RELATED TO THIS AGREEMENT.
Any claim or cause of action arising under or related to this Agreement must be filed within one (1) year after such claim or cause of action arose, or it will be permanently barred, regardless of any statute of limitations to the contrary.
This Agreement, together with our Terms of Service and Privacy Policy (each incorporated herein by reference), constitutes the entire agreement between you and Jozie AI with respect to your participation as a Creator, and supersedes all prior and contemporaneous agreements, understandings, and representations regarding the same subject matter.
If any provision of this Agreement is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable, consistent with the parties' original intent.
Jozie AI's failure to enforce any right or provision of this Agreement will not constitute a waiver of that right or provision. No waiver by Jozie AI of any breach of this Agreement will be deemed a waiver of any subsequent breach of the same or any other provision.
You may not assign, transfer, sublicense, or delegate any of your rights or obligations under this Agreement without Jozie AI's prior written consent. Any purported assignment in violation of this Section is void. Jozie AI may assign this Agreement, in whole or in part, without your consent, in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. This Agreement binds and inures to the benefit of the parties and their permitted successors and assigns.
Jozie AI will not be liable for any failure or delay in performance under this Agreement caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemic, civil unrest, government action, internet or telecommunications failure, power outages, or third-party service disruptions.
This Agreement is for the sole benefit of you and Jozie AI and does not create any rights in any third party, including Subscribers.
You agree that this Agreement may be entered into electronically, and that electronic acceptance (including clicking "I agree" or any equivalent action) is legally equivalent to a handwritten signature and constitutes a valid and binding agreement.
This Agreement is written in English. If this Agreement is translated into another language, the English version will control in the event of any conflict or inconsistency.
Notices from Jozie AI to you will be sent to the email address associated with your Creator account. Notices from you to Jozie AI must be sent to legal@jozieai.com. Notices are effective upon transmission by email, or upon posting to the Platform for Platform-wide notices.

By operating as a Creator on Jozie Workforce, you acknowledge that you have read, understood, and agree to be bound by this Creator Agreement in full. This Agreement, together with our Terms of Service and Privacy Policy, constitutes the complete and exclusive agreement between you and Jozie AI Inc. governing your role as a Creator. You further acknowledge that no representation, promise, or inducement has been made to you by Jozie AI that is not contained in this Agreement, and that you are not relying on any such representation, promise, or inducement.
